Contracts come in many shapes and sizes, and can often be complicated or difficult to understand. At Stone, Wiley, & Linsenbach, we guide you through every aspect of preparing and implementing a contract. As we organize the details of your contract, we can negotiate the contract terms with all parties involved. In addition, we can handle the drafting process and any litigation involving a contractual dispute.

NEGOTIATION

In the pre-drafting phase, we represent our client’s interests during negotiations of the terms of the contract. When a business or personal relationship is formed between the contracting parties, the terms of the deal must be set forth. the first step in establishing a contract begins when you enter negotiations with the other party. This is the time when the parties decide who will write the contract. You want to write the contract to influence the definition process. Hence the saying: “The pen is mightier than the sword”.

DRAFTING

Our firm prides itself in taking the necessary time to properly draft a contract specific to our client’s needs. It is important to remember that each and every contractual term may be vital to the document as a whole. One legally ineffective term may make the entire document inadequate or place inappropriate liability on you. Every contract is given our undivided attention in order to protect our clients in the event of any contractual dispute. In addition, if we are not drafting the contract, our firm will conduct a meticulous review of each contract provision to protect our clients from unfair terms, and assist them in negotiating a more favorable agreement. We balance the law with the business needs of the client, and we discuss the cost-benefit analysis of provisions and contractual terms.

LITIGATION

Finally, if our clients become involved in a contractual dispute, our firm will evaluate the terms and actions taken by both parties to formulate a plan to resolve the dispute. We will fight to win if a lawsuit is necessary. There are never guarantees in winning, as our system has human error built into it by judges and juries, but we will do all that we can to convince them that you are correct. A thorough understanding of the legal evolution and development of contract law is critical to the effective representation of our clients. We are always at the forefront of contract law within Pennsylvania and the United States. Our firm has extensive experience in this area of practice due to the drafting and negotiation of countless contracts, teaching contract law, and resolving contract disputes with effective litigation. Please contact us with any questions or concerns you may have regarding negotiating, drafting, or litigating contracts.
